These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and OnCue Solutions LLC, an Arizona limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of our website https://oncuesolutions.com (the “Site”) and our CRM software and automation services (collectively, the “Services”).

By creating an account, purchasing a subscription, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

By submitting User Content, you grant OnCue Solutions LLC a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, store, display, and process such content solely for the purpose of operating and improving the Services.

You represent and warrant that you own or have sufficient rights to your User Content and that it does not violate any law or infringe the rights of any third party.

We reserve the right to remove User Content that we deem inappropriate, unlawful, or in violation of these Terms.

5. Subscriptions and Payment

Access to the Services requires a paid subscription. Plans, features, and pricing are disclosed on the Site and are subject to change.

Automatic Renewal: Subscriptions automatically renew unless canceled prior to the renewal date. By subscribing, you authorize us (or our third-party payment processor) to automatically charge the applicable fees to your payment method on a recurring basis.

Refunds: All fees are non-refundable, except where required by law.

Taxes: You are responsible for any applicable taxes.

6. Acceptable Use

You agree not to:

Use the Services for unlawful, fraudulent, or harmful purposes;

Upload viruses, malicious code, or content intended to disrupt systems;

Attempt to gain unauthorized access to the Services or related systems;

Use the Services in a manner that infringes intellectual property rights of others.

7. Intellectual Property

Except for User Content, all materials, software, designs, trademarks, and content made available through the Services are the sole property of OnCue Solutions LLC or its licensors and are protected under intellectual property laws.

You may not copy, modify, distribute, or otherwise exploit such materials without our prior written consent.

8. Termination

We may suspend or terminate your account or access to the Services, with or without notice, for conduct that we reasonably believe violates these Terms, applicable law, or is otherwise harmful.

You may terminate your account at any time; however, fees paid are non-refundable.

9. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law:

OnCue Solutions LLC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from or related to your use of the Services.

Our total aggregate liability for any claim shall not exceed the greater of: (i) the amount you paid to us for the Services in the 12 months preceding the claim, or (ii) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless OnCue Solutions LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or relating to your:

Use of the Services;

Violation of these Terms;

Violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Coconino County, Arizona, and you consent to such jurisdiction.

Before filing a lawsuit, the parties agree to attempt in good faith to resolve the dispute through informal negotiation.

13. Changes to Terms

We may revise these Terms from time to time. Updates will be posted on this page with the “Last Updated” date. Continued use of the Services constitutes acceptance of the revised Terms.

14. SMS Terms of Service

Program Description: By opting into OnCue Alerts, you will receive SMS messages related to your subscription, account notifications, billing updates, product/service announcements, and other service-related information. Message frequency varies depending on your account activity and settings.

Opt-Out Instructions

You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. After sending “STOP,” you will receive a confirmation SMS to verify your opt-out. Following this confirmation, you will no longer receive SMS messages from us.

Rejoining Instructions

If you wish to rejoin, you may opt back in through our website or by texting “START” to the shortcode.

Help Instructions

If you experience issues with the messaging program, reply with the keyword “HELP” for more assistance, or contact us directly at [email protected].

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.

Message and Data Rates

Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have questions about your text or data plan, contact your wireless provider.
